Terms of Service
Services
Edynamics provides revenue analysis, recovery, and intelligence services. We deliver these through three engagement tiers:
Revenue Signal
A one-time diagnostic across seven dimensions (reviews, search visibility, booking flow, follow-up, ad spend, content, and reputation). Output is a written report with a recovery roadmap and a 30-minute walk-through call.
Revenue Recovery
A 90-day done-for-you implementation engagement. Includes everything in Revenue Signal plus the build and deployment of your booking pages, email/SMS automation, Intelligent phone response, content engine, and reputation system. Weekly progress and before/after metrics included.
Revenue Intelligence
An ongoing monthly retainer covering 24/7 leak detection, the live revenue infrastructure dashboard, monthly optimisation cycles, quarterly strategy review, and a dedicated revenue strategist.
What is not included
- Paid media spend itself — you fund your own advertising budgets directly with the platforms.
- Third-party software licences (e.g. Cal.com paid plan, premium CRM seats) unless explicitly bundled in your engagement.
- Hardware, on-site implementation, or in-person staff training (available as a separate quote).
Payment Terms
Pricing and billing
The Revenue Signal report is billed once at $97 USD. Recovery and Intelligence engagements are quoted following your Signal Report and billed monthly via Stripe unless otherwise agreed in writing.
Refund policy
- Signal Report: if the report does not identify at least $1,000 / month in recoverable revenue, we refund the fee in full on request.
- Recovery / Intelligence: monthly fees are non-refundable once the billing period has begun. You may cancel future renewals at any time per the termination clause below.
Late payment
Invoices not paid within 14 days of the due date may incur a late fee of 1.5% per month or the maximum permitted by Ontario law, whichever is lower. Continued non-payment after 30 days may result in suspension of the service.
Price changes
We will provide at least 30 days' written notice before any change to recurring fees. You may cancel before the change takes effect without penalty.
Acceptable Use
You agree not to use Edynamics services to:
- Send unsolicited bulk communications, including any communication that violates Canada's Anti-Spam Legislation (CASL) or comparable laws.
- Conduct any unlawful activity, infringe intellectual-property rights, or distribute malicious code.
- Resell, sublicense, or white-label any Edynamics service without a separate written reseller agreement.
- Reverse-engineer, scrape, or attempt to extract proprietary methods, models, or data from the platform.
- Impersonate other Edynamics clients, attempt to access workspaces you don't own, or interfere with platform security.
We reserve the right to suspend or terminate accounts that breach these terms. Material breaches may be disclosed to law enforcement when required.
Intellectual Property
- The Edynamics platform, including the software, agents, infrastructure, prompts, and methodology, is and remains the exclusive property of Edynamics.
- Your business data (lead lists, customer records, integration credentials) is and remains exclusively yours. You grant us a limited licence to process it solely to operate the service for you.
- Content we create for you — landing pages, written copy, images, sequences, scripts, branded assets — becomes your property on payment. You may use it freely after the engagement ends.
- Anonymised data — Edynamics retains the right to use de-identified, aggregated data (no business names, no contact details) to improve the platform and to publish industry benchmarks.
Limitation of Liability
Edynamics services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
Revenue results are never guaranteed. We work with our clients to recover revenue and make every reasonable effort to do so, but external factors — market conditions, competitor activity, your team's adoption of the systems we build, third-party platform changes — can affect outcomes. Any forecast or projection we share is a good-faith estimate, not a contractual commitment.
To the maximum extent permitted by law, Edynamics' aggregate liability for any claim arising out of or relating to the services is limited to the fees paid by you to Edynamics in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits or business opportunities, even if we have been advised of the possibility of such damages.
Termination
Termination by you
You may cancel a Recovery or Intelligence engagement at any time by providing 30 days' written notice to support@edynamicsgrowth.com. Fees already paid for the current billing period are non-refundable.
Termination by us
We may terminate or suspend the service immediately for material breach of these terms (including non-payment after 30 days, abuse of the platform, or conduct that violates law). For non-cause terminations, we provide at least 30 days' written notice.
What happens to your data
- You retain a 30-day data export window after termination, during which we will provide your data in a structured, machine-readable format on request.
- After 30 days, your data is purged from production systems. Encrypted backups roll out of rotation within an additional 30 days.
- Content we created for you remains yours (see Intellectual Property).
Governing Law and Disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
Before initiating formal proceedings, both parties agree to attempt good-faith resolution by direct discussion for at least 30 days. If unresolved, disputes will be brought exclusively in the courts of Ontario, Canada.
Changes to These Terms
We may update these terms when our services or applicable law changes. Material changes are announced by email to active clients at least 30 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
